  • SAFE-A — Existing / Early Investors

    Who qualifies: Accredited existing / early investors, including:

    • Prior individual investors, including StartEngine investors, early private shareholders, and affiliated investment vehicles
    • Participation in a trust, entity, or shareholder group whose previously invested

    Valuation cap: $11.0M | Designed to reward early conviction and long-term support.

    Documents: SAFE-A Agreement (PDF)
    Preferred conversion terms (cumulative):

    • $25,000-$49,999 → 5% discount
    • $50,000-$99,999 → 10% discount
    • $100,000-$249,999 → 20% discount
    • $250,000+ → 25% discount

  • SAFE-B — New Investors

    Who qualifies:

    • Accredited investors meeting the minimum investment thresholds

    Valuation cap: $16.5M | Provides downside protection with participation in future upside.

    Preferred conversion terms (cumulative):

    • $25,000-$99,999 → 5% discount
